FIDUCIARY EQUITY & TAX ARCHITECTURE

Navigating Vested RSUs, ESPPs, and Concentrated Stock in Aerospace & Defense

A fiduciary planning framework that may help engineers, program managers, and directors evaluate single-stock concentration, understand the 22% statutory withholding gap, and consider how vested equity could fit into a broader long-term plan. Individual results vary, and tax outcomes depend on personal circumstances.

COMMON ISSUES

Three Common Issues with Unplanned Equity Compensation

When equity awards vest, default corporate administrative processes can leave defense professionals exposed to unexpected tax liabilities and uncompensated market risk. Outcomes depend on vest size, tax bracket, and individual circumstances.

ISSUE // 01

The 22% Statutory Withholding Shortfall

Companies are legally mandated to withhold a flat 22% federal tax on supplemental wages under $1M. However, high-earning aerospace engineers and program managers are often in the 32%, 35%, or 37% federal tax brackets, plus California state income tax.

Impact: This gap can contribute to unexpected tax balances, which may reach five figures depending on vest size and tax bracket, and may also contribute to IRS underpayment penalties.
ISSUE // 02

The "Wait for Capital Gains" Fallacy

A common misconception is that holding vested RSUs for a year qualifies the entire grant for long-term capital gains rates. In reality, RSUs are taxed as ordinary W-2 income on the vesting date regardless of whether you sell or hold.

Impact: Holding does not defer or reduce that ordinary-income tax; it can introduce downside market risk to money already taxed.
ISSUE // 03

Human Capital & Portfolio Double Exposure

Your base salary, annual incentive bonus, health benefits, and unvested stock grants already depend on your employer. Letting vested shares accumulate can create additional concentration risk if federal defense budgets shift or contracts re-compete.

Impact: A single corporate setback can affect both your primary income and retirement savings.
THE DECISION HEURISTIC

The "Cash Bonus" Test: Clarifying Vested Equity Decisions

Because RSUs are taxed identically to ordinary payroll cash at vesting, consider this educational thought exercise:

"If your employer awarded you an equivalent net cash bonus of $50,000 today, would your very first decision be to walk into the open stock market and purchase $50,000 of your company's stock?"

This is an educational thought exercise, not a survey result or a recommendation. Some people, when asked this question, say they would not buy that much of a single stock with cash. They might instead fund a 529 plan, pay down debt, make a home down payment, or invest in a diversified portfolio.

Holding vested company stock by default is making a similar investment decision each quarter, whether or not that choice is intentional. Whether that concentration is appropriate depends on your goals, taxes, and risk tolerance.

EXECUTION PROTOCOL

A 4-Step Systematic Fiduciary Equity Playbook

We use a rules-based planning framework intended to reduce ad-hoc timing decisions. No framework removes market or tax risk. Tax law and personal circumstances vary, and modeling can be incomplete. Consult a CPA before acting.

01MODELING

Tax Liability Modeling

We review your prior-year tax returns and project forward-looking marginal rates. We estimate your statutory withholding gap and may help you coordinate quarterly estimated tax payments with your CPA. This planning does not guarantee you will avoid underpayment penalties.

May help you plan for April tax timing
02ESPP

ESPP Planning

We evaluate your plan’s lookback provisions and discount structures (e.g. 15%). We discuss criteria for whether an immediate disqualifying disposition or a qualifying holding period may better fit your tax situation, cash-flow needs, and concentration. Tax treatment and net proceeds vary.

Evaluates ESPP discount and holding tradeoffs
03DIVESTMENT

Concentration Planning

We may establish a standing, disciplined schedule to systematically divest vested shares upon release. This is designed to help reduce single-company stock toward a commonly used 10%–15% guideline. That range is not a requirement, and appropriate concentration varies by household.

Intended to reduce ad-hoc timing decisions
04REDEPLOYMENT

Tax-Aware Allocation

Divested proceeds may be allocated toward a diversified mix, which can include direct indexing and tax-loss harvesting where appropriate. Tax-loss harvesting is not guaranteed, is subject to wash-sale and account rules, and diversification does not assure a profit or protect against loss. Longer-term results depend on markets, taxes, and personal circumstances.
